**CONFIDENTIALITY AGREEMENT**


This Confidentiality Agreement ("Agreement") is made effective as of [Insert Date] by and between [Company Name], a [State/Country] Corporation located at [Company Address] ("Company"), and [Employee Name], residing at [Employee Address] ("Recipient").


**1. CONFIDENTIAL INFORMATION**

   - The Company proposes to disclose certain of its confidential and proprietary information (the "Confidential Information") to the Recipient. Confidential Information shall include all data, materials, products, technology, computer programs, specifications, manuals, business plans, software, marketing plans, financial information, and other information disclosed or submitted, orally, in writing, or by any other media, to Recipient by Company.


**2. RECIPIENT'S OBLIGATIONS**

   - a. Maintain Confidentiality: Recipient agrees that the Confidential Information is to be considered confidential and proprietary to the Company and Recipient shall hold the same in confidence, shall not use the Confidential Information other than for the purposes of its business with Company, and shall disclose it only to its officers, directors, or employees with a specific need to know.

   - b. Limitation of Disclosure: Recipient shall not disclose, publish, or otherwise reveal any of the Confidential Information received from the Company to any other party whatsoever except with the specific prior written authorization of the Company.


**3. EXCLUSIONS FROM CONFIDENTIAL INFORMATION**

   - Confidential Information does not include information that: (a) was known to Recipient prior to receiving any of the Confidential Information from Company; (b) has become publicly known through no wrongful act of Recipient; (c) was received by Recipient without breach of this Agreement from a third party without restriction as to the use and disclosure of the information.


**4. OWNERSHIP OF CONFIDENTIAL INFORMATION**

   - Recipient agrees that all material and documents that have or will come into its possession and knowledge in connection with this Agreement are to be considered confidential and proprietary to the Company and are to be returned to the Company, promptly upon the expiration or termination of this Agreement.


**5. LEGAL REMEDIES FOR BREACH**

   - Recipient agrees that its obligations hereunder are necessary and reasonable in order to protect the Company and its business, and expressly agrees that monetary damages would be inadequate to compensate the Company for any breach by Recipient of any covenants and agreements set forth herein. Accordingly, Recipient agrees and acknowledges that any such violation or threatened violation will cause irreparable injury to the Company and that, in addition to any other remedies that may be available, in law, in equity or otherwise, the Company shall be entitled to obtain injunctive relief against the threatened breach of this Agreement or the continuation of any such breach by Recipient.


**6. TERM**

   - The obligations of this Agreement shall survive [Insert number of years] years after the termination of Recipient’s business relationship with the Company, or as long as the Confidential Information remains a trade secret.


**7. MISCELLANEOUS**
